Terms of Service

Last updated 13 June 2026. These terms govern your access to and use of the Zobook website and platform.

In short: use Zobook lawfully and within your plan, keep your account secure, pay any agreed fees, and you keep ownership of your data. We provide the Service with reasonable skill and care and you can cancel at the end of your billing cycle.

These Terms of Service ("Terms") form an agreement between you ("Customer", "you") and Zobook Ltd ("Zobook", "we", "us"), a company registered in England & Wales (company no. 14009071). By accessing our website or using the Zobook platform (the "Service"), you agree to these Terms. If you are agreeing on behalf of a company, you confirm you are authorised to bind it.

1. Definitions

"Service" means the Zobook website and the cloud-based inventory, sales, and finance platform. "Customer Data" means the data you submit to or generate in the Service. "Subscription" means your paid plan. "Order" means the plan and pricing we agree with you.

2. The Service

Zobook provides a cloud-based inventory, sales, and finance platform with optional integrations to third-party marketplaces, accounting tools, couriers, and payment providers. We may update, improve, or change features over time, and will aim to give reasonable notice of material changes that reduce core functionality.

3. Accounts & eligibility

You must provide accurate registration information and keep it current. You are responsible for safeguarding your account credentials and for all activity under your account, and must promptly notify us of any unauthorised use. The Service is intended for business use.

4. Subscriptions, trials & fees

Paid plans are charged at the price and on the cycle stated in your Order (monthly or annually). Free trials run for the stated period and convert to a paid plan only if you choose to continue. Fees are exclusive of VAT unless stated. We may adjust pricing for a renewal term with at least 30 days' notice. Late or failed payments may result in suspension. Except where required by law, fees are non-refundable for partial periods.

5. Acceptable use

You agree not to: use the Service unlawfully; infringe others' rights; upload malware; attempt to gain unauthorised access; reverse engineer the Service except as permitted by law; resell or provide the Service to third parties without our agreement; or use it in a way that harms the Service or other users. You must comply with the terms of any third-party platform you connect, including the Amazon Selling Partner Agreement and Acceptable Use Policy.

6. Your data

You retain all rights to your Customer Data. You grant us a limited licence to host and process Customer Data solely to provide and support the Service. Our handling of personal data is described in our Privacy Policy and Data Protection statement. You are responsible for having the rights and consents needed for the data you upload or connect.

7. Third-party integrations

When you connect a third-party service (for example Amazon, eBay, Shopify, or an accounting tool), you authorise us to exchange data with it on your behalf. Those services are governed by their own terms, and we are not responsible for their availability or actions. You may disconnect any integration at any time.

8. Intellectual property

The Service, software, and all related materials are owned by Zobook or its licensors and are protected by intellectual property laws. These Terms grant you a non-exclusive, non-transferable right to use the Service during your Subscription; no other rights are granted. Feedback you give us may be used to improve the Service without obligation to you.

9. Availability & support

We work to keep the Service available and provide UK-based support during business hours. We may carry out maintenance, and will give advance notice of planned downtime where practical. Current status is published at our status page.

10. Warranties & disclaimers

We provide the Service with reasonable skill and care. To the extent permitted by law, the Service is otherwise provided "as is" without further warranties. You are responsible for verifying outputs used for accounting, tax, or regulatory purposes.

11. Limitation of liability

Nothing in these Terms limits liability that cannot be limited by law (including death or personal injury caused by negligence, or fraud). Subject to that, neither party is liable for indirect or consequential loss, loss of profit, or loss of data; and our total liability in any 12-month period is limited to the fees you paid for the Service in that period.

12. Suspension & termination

You may cancel at the end of your billing cycle. We may suspend or terminate access for material breach, non-payment, or unlawful use. On termination you may export your Customer Data for 30 days, after which we may delete it in line with our retention policy.

13. Force majeure

Neither party is liable for failure or delay caused by events beyond its reasonable control, including outages of third-party infrastructure, network or power failures, or acts of government.

14. Assignment

You may not assign these Terms without our consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.

15. General

These Terms, together with any Order and the policies referenced here, are the entire agreement between us. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a right is not a waiver of it.

16. Changes to these Terms

We may update these Terms from time to time. We will post the updated version here with a revised date and, for material changes, notify account holders. Continued use after changes take effect constitutes acceptance.

17. Governing law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
